1. Introduction & Acceptance

Welcome to Naseeha — a mentorship marketplace operated by Naseeha FZ-LLC, registered in the United Arab Emirates.

These Terms & Conditions (“Terms”) govern your access to and use of our platform (the “Platform”), which connects mentors (“Guides”) and mentees (“Seekers”) for one-on-one sessions.

By using Naseeha, you agree to comply with these Terms and our Privacy Policy and Community Guidelines. If you do not agree, please discontinue use of the Platform.

2. Definitions

For clarity, the following terms apply:

  • Platform — Naseeha's website, mobile interface, and services.
  • User — any person accessing or using Naseeha, including mentors and mentees.
  • Mentor (Guide) — a registered user offering one-on-one mentorship sessions.
  • Mentee (Seeker) — a registered user booking mentorship sessions.
  • Session — a scheduled one-on-one mentorship interaction.
  • Account — a registered user profile created to access Naseeha.
  • Service Fee — the platform fee charged by Naseeha to both users.

3. Eligibility & Account Creation

  • You must be 16 years or older to use Naseeha.
  • You agree to provide accurate, current, and complete information when creating your account.
  • Mentors undergo review and verification before being listed.
  • You are responsible for maintaining the confidentiality of your login credentials. Naseeha is not liable for unauthorized access caused by your negligence.

4. Platform Role & Disclaimer

  • Naseeha is a facilitator — it does not provide coaching, therapy, or certified consulting.
  • Mentors are independent, not employees or representatives of Naseeha.
  • Naseeha does not guarantee any outcome or success from sessions.
  • All sessions are for informational and personal development purposes only.

5. Mentor Responsibilities

Mentors agree to:

  • Offer sincere, experience-based guidance — not formal legal, medical, or financial advice.
  • Maintain professionalism, empathy, and confidentiality at all times.
  • Provide accurate profile information and credentials.
  • Avoid off-platform solicitations or unapproved payments.
  • Comply with all applicable UAE laws and data protection standards.

6. Mentee Responsibilities

Mentees agree to:

  • Use the Platform respectfully and lawfully.
  • Understand that mentorship is contextual guidance — not certified advice or guaranteed results.
  • Not record, share, or distribute session content without consent.
  • Avoid harassment, discrimination, or inappropriate behavior toward mentors or other users.

7. Bookings, Payments & Cancellations

  • All bookings and payments occur securely within Naseeha.
  • Naseeha charges a 15% service fee to both mentors and mentees to support platform operations and secure payment systems.
  • Refunds and cancellations depend on the mentor's individual cancellation policy, displayed before booking.
  • Naseeha may intervene in disputes case-by-case to ensure fairness and compliance.

8. Earnings & Payouts (for Mentors)

  • Mentors set their own rates and availability.
  • Payments are released automatically after session completion.
  • Mentors are solely responsible for reporting and paying applicable taxes in their jurisdiction. Naseeha does not withhold or remit taxes.
  • Naseeha is not liable for payout delays caused by banks, payment gateways, or inaccurate details.

9. Prohibited Conduct

Users may not:

  • Circumvent Naseeha's payment system or conduct sessions off-platform.
  • Record or share session content.
  • Provide false credentials or impersonate others.
  • Engage in harassment, discrimination, or illegal activity.
  • Access or interfere with the Platform's systems or security.

Violations may result in account suspension or termination.

10. Community Code of Conduct

Naseeha is founded on sincerity, respect, and cultural integrity.

All users must act with empathy, honesty, and professionalism.

Any form of harassment, discrimination, or unethical behavior may lead to immediate suspension or permanent removal.

11. Feedback & Testimonials

  • Users may submit feedback or testimonials following sessions.
  • By submitting, you grant Naseeha a non-exclusive, royalty-free license to use, edit, and display this content (with your first name and city) across marketing or media.
  • Naseeha may moderate or remove content that is offensive, defamatory, or misleading.

12. Third-Party Services Disclaimer

  • Naseeha uses secure third-party providers (e.g., payment processors, hosting, analytics).
  • By using the Platform, you agree to the terms of these providers where applicable.
  • Naseeha is not responsible for outages, data loss, or issues caused by third-party services.
  • All integrations follow PDPL-compliant security and data protection standards.

13. Use of Materials

  • Materials shared during or after sessions — including slides, notes, or recordings — are for personal use only.
  • Reproducing, distributing, or reselling these materials without written consent from their author is strictly prohibited.

14. Intellectual Property

  • The Naseeha name, logo, and Platform content are owned by Naseeha FZ-LLC.
  • Users retain ownership of their own contributions but grant Naseeha a limited right to display and promote them (e.g., mentor profiles, testimonials).
  • Unauthorized reproduction, scraping, or commercial use of Naseeha content is prohibited.

15. Data Protection & Privacy

  • Naseeha complies with the UAE Personal Data Protection Law (Federal Decree-Law No. 45 of 2021).
  • See our Privacy Policy for how personal data is collected, processed, and safeguarded.
  • Sessions are never recorded without the explicit consent of both participants.

16. Service Modifications & Maintenance

  • Naseeha may modify or temporarily suspend features for maintenance, updates, or improvement.
  • We strive to notify users in advance, but short-term disruptions may occur.
  • Naseeha is not liable for unavailability due to scheduled maintenance.

17. Refunds & Dispute Handling

  • Naseeha acts as a neutral facilitator in payment and refund disputes.
  • Refund eligibility depends on the mentor's cancellation settings and verified circumstances.
  • Naseeha reviews disputes fairly and may issue credits or refunds at its discretion.

18. Content Moderation & Removal Rights

  • Naseeha may review, hide, or remove any content that violates laws, community guidelines, or ethical standards.
  • Repeated violations may result in permanent account removal without prior notice.

19. Force Majeure

Naseeha is not liable for delays or service failures caused by events beyond our reasonable control, including but not limited to internet outages, cyberattacks, natural disasters, or government restrictions.

20. Limitation of Liability

  • Naseeha provides its Platform “as is,” without warranties or guarantees.
  • Naseeha is not responsible for:
    • Decisions made based on mentorship sessions.
    • Platform downtime, technical errors, or interruptions.
    • Actions or omissions of users or third parties.
  • Total liability is limited to the amount paid by the user in the three months preceding the claim.

21. Indemnification

You agree to indemnify and hold Naseeha harmless against any claims, losses, or expenses arising from:

  • Violation of these Terms,
  • Misuse of the Platform, or
  • Breach of laws or third-party rights.

22. Termination & Suspension

  • Naseeha may suspend or terminate accounts for violations, fraud, or misconduct.
  • Users may close their accounts anytime via account settings.
  • Naseeha may retain certain data as required by law or for security compliance.

23. Changes to These Terms

  • Naseeha may update these Terms at any time.
  • Updates take effect upon posting.
  • Continued use of the Platform signifies your acceptance of revised Terms.

24. Governing Law & Jurisdiction

These Terms are governed by the laws of the United Arab Emirates.

Any dispute arising hereunder shall be subject to the exclusive jurisdiction of the courts of Dubai, UAE.
