Welcome to Naseeha — a mentorship marketplace operated by Getnaseeha PORTAL, registered in the United Arab Emirates.

These Terms & Conditions (“Terms”) govern your access to and use of the Naseeha platform (the “Platform”).

By creating an account, accessing, or using Naseeha, you:

• Confirm that you have read and understood these Terms
• Agree to be legally bound by them
• Acknowledge that electronic acceptance constitutes a valid and binding agreement under applicable UAE law

If you do not agree, you should discontinue use of the Platform.

• Platform — Naseeha's website, applications, and services
• User — any individual using the Platform
• Mentor — a user offering mentorship sessions
• Seeker — a user booking sessions
• Session — a scheduled one-on-one interaction
• Account — a registered user profile
• Service Fee — the platform fee charged by Naseeha

Naseeha is a marketplace for conversations, not a provider of professional services.

Naseeha:

• Connects Seekers and Mentors
• Facilitates booking, payments, and session infrastructure
• Enables access to experience-based guidance

Naseeha does NOT:

• Employ, control, or supervise Mentors
• Provide legal, financial, medical, or psychological advice
• Guarantee outcomes from sessions

Mentors are independent users, not employees, agents, or representatives of Naseeha.

Nature of Sessions

Sessions are:

• Conversational and experience-based
• Contextual, not prescriptive

They do not constitute:

• Coaching
• Therapy
• Certified or regulated advisory services

Naseeha is not designed for urgent, crisis, or emergency situations.

The Platform does not provide real-time support, monitoring, or intervention for high-risk or time-sensitive issues, including but not limited to medical, psychological, legal, or financial emergencies.

By using the Platform, you acknowledge and agree that:

• Naseeha is not a substitute for professional or emergency services
• You should not rely on the Platform for urgent or critical situations

Naseeha shall not be liable for any loss, harm, or consequences resulting from the use of the Platform in emergency or crisis situations.

• You must be at least 18 years old to use the Platform
• You must provide accurate and complete information
• You are responsible for maintaining the confidentiality of your account

Naseeha reserves the right to:

• Approve, reject, or remove accounts
• Request verification where necessary

Mentors agree to:

• Provide sincere, experience-based guidance
• Not present their advice as professional, certified, or regulated services
• Maintain professionalism, respect, and confidentiality
• Provide accurate profile and background information
• Avoid off-platform payments or solicitations
• Comply with applicable laws
• Not engage in harassment, abuse, or misconduct
• Not record or distribute session content

Mentees agree to:

• Provide accurate profile and background information
• Use the Platform respectfully and lawfully
• Understand that mentorship is not guaranteed advice or outcomes
• Not record or distribute session content
• Not engage in harassment, abuse, or misconduct
• Comply with applicable laws
• Avoid off-platform payments or solicitations

• All bookings and payments occur within the Platform
• Mentors set their own rates
• Naseeha charges a service fee from both Mentors and Mentees

Payments:

• Collected at booking
• Released after session completion

• Cancellation and rescheduling follow policies displayed at booking
• Refund eligibility depends on timing and session status
• No-shows or late cancellations may not be refunded

Disputes:

• Users should attempt resolution directly
• Naseeha may review and act at its discretion
• Decisions are final within platform scope

Users are responsible for their conduct and any content or information they share on the Platform.

Users may not engage in any activity that violates these Terms, applicable laws, or the integrity of the Platform, including, without limitation:

Any violation of this clause may result, at Naseeha's sole discretion, in:

• Removal of content
• Restriction of access
• Suspension or termination of accounts

Naseeha is built on principles of sincerity, respect, and professionalism.

All users are expected to:

• Act with integrity and honesty
• Respect personal and professional boundaries
• Engage in constructive and respectful interactions

Users must also comply with:

• These Terms
• Applicable laws and regulations
• Platform policies and guidelines

Any behavior that undermines user safety, trust, or the integrity of the Platform may result, at Naseeha's sole discretion, in:

• Restriction of access
• Suspension of accounts
• Permanent removal from the Platform

All sessions conducted on Naseeha are private and confidential.

For the purposes of these Terms, “Confidential Information” includes, without limitation:

• Any information shared during sessions (verbal or written)
• Personal, professional, or sensitive information
• Documents, materials, or insights exchanged between users

All users agree to:

• Maintain the confidentiality of all Confidential Information
• Not disclose, reproduce, distribute, publish, or otherwise share such information
• Not use such information for any purpose outside the intended context of the session

Mentors further agree to:

• Exercise a high standard of care in handling seeker information
• Not reuse or disclose sensitive personal or professional details in any form

These obligations survive the completion of any session and termination of use of the Platform.

Any breach of this clause may result, at Naseeha's sole discretion, in:

• Suspension or termination of accounts
• Restriction of access to the Platform

Naseeha is not responsible for breaches of confidentiality by users but reserves the right to take action where such breaches are identified.

Sessions on Naseeha are private and confidential.

Users acknowledge and agree that recording of sessions is strictly prohibited.

This includes, without limitation:

• Audio or video recording
• Screen recording or screenshots
• Use of third-party tools or devices to capture session content
• Any form of reproduction or capture of session interactions

Recording is only permitted where explicitly authorized by Naseeha.

Any violation of this policy may result, at Naseeha's sole discretion, in:

• Suspension or termination of accounts
• Restriction of access to the Platform

Users agree not to bypass Naseeha by arranging, soliciting, or conducting sessions, payments, or ongoing mentorship relationships outside the Platform.

This includes, without limitation:

• Exchanging contact details for the purpose of continuing interactions off-platform
• Offering or accepting services outside Naseeha after being introduced through the Platform
• Attempting to avoid applicable fees

Users further agree not to continue any mentorship, advisory, or similar relationship initiated through the Platform outside Naseeha for a period of twelve (12) months from the date of the first session between the Mentor and Seeker.

Any violation of this clause may result, at Naseeha's sole discretion, in:

• Suspension or permanent termination of accounts
• Restriction of access to the Platform
• Any other action deemed necessary to protect the Platform's integrity

Mentors provide guidance based on personal experience, perspective, and individual judgment.

Such guidance:

• Is informational in nature
• May not be accurate, complete, or applicable to your specific situation
• Does not constitute professional, legal, financial, medical, or psychological advice

You acknowledge and agree that:

• You will not rely solely on any advice provided through the Platform
• You are solely responsible for evaluating and applying any information received
• Any decisions or actions you take are at your own risk

Naseeha does not:

• Verify or endorse the accuracy of advice provided
• Guarantee any outcomes resulting from sessions

To the maximum extent permitted by law, Naseeha shall not be liable for any loss, damage, or consequences arising from your reliance on or use of any guidance provided through the Platform.

Mentors set their own pricing and availability on the Platform.

Payments are processed through the Platform and released after session completion, subject to applicable policies and third-party payment processing timelines.

Mentors act as independent contractors and are solely responsible for:

• Reporting all income earned through the Platform
• Paying any applicable taxes, duties, or charges in their relevant jurisdiction
• Complying with all applicable laws and regulations related to their activities

Naseeha:

• Does not withhold or remit taxes on behalf of Mentors
• Is not responsible for any failure by Mentors to meet their tax or legal obligations
• Is not liable for delays or issues caused by payment providers, banks, or incorrect account information

Naseeha may rely on third-party service providers to operate the Platform, including but not limited to payment processing, communication tools, hosting, and infrastructure.

By using the Platform, you acknowledge that:

• Such third-party services are outside Naseeha's control
• Your use of those services may be subject to their own terms and policies
• Naseeha is not a party to any agreement between you and such providers

Naseeha shall not be liable for:

• The availability, performance, or reliability of third-party services
• Errors, delays, or failures caused by such providers
• Any loss or damage arising from your use of third-party services

• Naseeha owns all platform content, branding, and technology
• Users retain ownership of their own contributions but grant Naseeha a limited right to display and promote them (e.g., mentor profiles, testimonials).
• Unauthorized reproduction, scraping, or commercial use of Naseeha content is prohibited.

Any materials, content, or information shared during or in connection with a session — whether verbal, written, or otherwise (including notes, frameworks, documents, or insights) — remain the intellectual property of the original contributor.

Such materials are provided for personal use only.

Users may not:

• Reproduce, distribute, publish, or share such materials
• Use them for commercial purposes
• Modify, adapt, or create derivative works based on them

without the prior written consent of the original contributor.

Any unauthorized use may result in account suspension and may give rise to legal action.

Users may submit feedback, reviews, or testimonials regarding their experience on Naseeha.

By submitting such content, you:

• Grant Naseeha a non-exclusive, royalty-free, worldwide right to use, reproduce, modify, publish, and display this content for platform improvement, marketing, and promotional purposes
• Confirm that you own or have the necessary rights to share such content and that it does not violate any third-party rights
• Confirm that the content is accurate, lawful, and not misleading

Naseeha may:

• Edit or format content for clarity, length, or presentation
• Use content in anonymized or identifiable form (e.g., first name, role, or city), unless otherwise requested
• Remove or decline to use any content at its discretion

Naseeha is committed to maintaining a safe, respectful, and professional environment.

Users acknowledge that:

• All content shared on the Platform (including sessions, messages, profiles, and reviews) is the responsibility of the user who created it
• Naseeha does not actively monitor all interactions and is under no obligation to do so

Naseeha may, at its sole discretion:

• Review reported content or user behavior
• Use automated tools to detect harmful, inappropriate, or unlawful activity
• Remove or restrict content
• Suspend or terminate user accounts

Naseeha shall not be liable for:

• User-generated content
• The accuracy, reliability, or legality of such content
• Any loss or damage arising from interactions between users

Naseeha aims to provide a reliable and accessible platform but does not guarantee uninterrupted, secure, or error-free operation.

Users acknowledge that:

• The Platform may experience downtime, delays, or technical issues
• Sessions may be affected by connectivity, system, or third-party service failures

Naseeha is under no obligation to ensure continuous availability of the Platform.

To the maximum extent permitted by law, Naseeha shall not be liable for:

• Interruptions, delays, or failures in service
• Loss of data, missed sessions, or scheduling issues
• Any loss or damage resulting from technical or system-related issues

Naseeha shall not be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from events beyond its reasonable control.

Such events include, without limitation:

• Technical failures or system outages
• Internet or connectivity disruptions
• Failures of third-party service providers
• Government actions or regulatory changes
• Natural disasters, pandemics, or force majeure events
• Cyberattacks or security incidents

During such events, Naseeha may suspend or limit access to the Platform without liability.

To the maximum extent permitted under applicable UAE law, the Platform is provided on an “as is” and “as available” basis, without warranties of any kind, whether express or implied.

Naseeha shall not be liable for any:

• Indirect, incidental, or consequential damages
• Loss of profits, revenue, business opportunities, or data
• Losses arising from decisions made following sessions
• Disputes or interactions between users
• Inability to access or use the Platform
• Failures or disruptions caused by third-party services

In all cases, Naseeha's total aggregate liability shall not exceed the total amount of fees paid by the user to Naseeha in the three (3) months preceding the claim.

You agree to indemnify, defend, and hold harmless Naseeha, its affiliates, directors, officers, and employees from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in connection with:

• Your use or misuse of the Platform
• Your interactions or disputes with other users
• Your breach of these Terms
• Your violation of any applicable law or regulation
• Any content, information, or materials you submit, share, or communicate through the Platform

Naseeha may, at its sole discretion and with or without prior notice, suspend, restrict, or terminate your access to the Platform if:

• You violate these Terms
• You engage in misconduct, abuse, or prohibited conduct
• Your behavior poses a safety, legal, or reputational risk
• It is necessary to comply with applicable laws or regulations

Such actions may include:

• Temporary suspension
• Permanent account termination
• Restriction of access to certain features

Upon termination:

• Your right to access the Platform ceases immediately
• Any outstanding obligations under these Terms remain in effect

Naseeha shall not be liable for any loss or damage resulting from suspension, restriction, or termination of your account.

Users may close their accounts at any time through the Platform.

Naseeha complies with the UAE Personal Data Protection Law (Federal Decree-Law No. 45 of 2021).

Naseeha may update or modify these Terms from time to time.

When changes are made:

• The updated version will be posted on the Platform with a revised “Last updated” date
• Material changes may be communicated through the Platform or via email where appropriate

Unless otherwise stated, changes take effect immediately upon posting.

By continuing to access or use the Platform after the updated Terms become effective, you agree to be bound by the revised Terms.

If you do not agree with any changes, you must discontinue use of the Platform.

These Terms are governed by the laws of the United Arab Emirates.

All disputes fall under the jurisdiction of the courts of Dubai, UAE.
